Welcome to the Fundrella Platform that is provided by Fundrella AB, reg.no. 559197-9736, a company incorporated and organised under the laws of Sweden (“Fundrella”).

These terms and conditions ("Terms and Conditions") apply as contractual content between Fundrella and its’ Users in the provision of the Platform and for all services and engagements provided by Fundrella. Fundrella is entitled to amend these Terms and Conditions from time to time. Such amendments become effective one (1) month after information concerning this has been made available on Fundrella.com.  It is the responsibility of the User to regularly check the website to keep up-dated on the general Terms and Conditions that apply at any given time.

By using the Platform, Asset Managers and Professional Investors, accept and undertake to comply with these Terms and Conditions and to be responsible for their authorized representatives’ compliance with them.

1. DEFINITIONS

1.1 Platform: The Fundrella platform, a data and information-sharing hub that supports efficient sharing of information between its Users, as defined below, across both listed and alternative asset classes, including equities, fixed income, private equity, private debt, real estate, infrastructure, and hedge funds.

1.2 Asset Managers: Promoters and investment managers of funds on the Fundrella Platform, and their representatives

1.3 Professional Investors: Institutional, wholesale intermediaries, or other professional investors (and their representatives e.g. investment consultants)

1.4 Asset Managers and Professional Investors are collectively referred to as the (“Users”)

2. ELIGIBILITY & USE OF THE PLATFORM

The Platform is intended solely for the use of Users as defined above. All Users must comply with applicable laws and regulations, the User is responsible that the User does not use the Platform for any illegal or unauthorised purpose and is solely liable for the information provided and that the information is correct, complete and non-misleading and does not infringe a third party’s intellectual property rights. A Professional Investor may request a user account and needs to confirm their professional investor status and professional investor company domain when applying for a user account. Fundrella may require additional proof regarding professional investor status and reserves the right to decline a user account request.

Users of the Fundrella platform do not engage in general advertising, solicitation, or securities offerings. Access is limited to qualified professional investors and asset managers. Nothing in these Terms and Conditions constitutes a distribution arrangement for either Party. These Terms and Conditions apply to all services and all engagements provided by Fundrella.

The User undertakes not to use or modify any function for the management of rights in the Platform or to bypass, modify, disable or circumvent any of the Platform’s functions or protection or other mechanisms that are operatively connected to the Platform.

The User is responsible for ensuring that the User does not transmit viruses, worms or other harmful codes of any kind to the Platform. The User may not transfer offensive, threatening, defamatory or other offensive data to, or with the help of, the Platform.

3. DATA & CONTENT

These Terms and Conditions refer to the privacy policy which also apply to the Users representative’s use of the Fundrella platform (“Privacy Policy”). The Privacy Policy sets out the terms on which Fundrella process any personal data we collect from a User or its representative, or that a User or its representative provides to Fundrella. The Privacy Policy shall be considered a supplement to these Terms and Conditions.

Users may share data, information, reports, and insights on the Platform. The Platform does not verify or endorse any content, and all Users remain solely responsible for the accuracy and legality of their shared data. Unauthorized use, reproduction, or distribution of content is prohibited.

The Platform may also display data and information sourced from third-party providers. While Fundrella strive to use reliable sources, Fundrella does not guarantee the accuracy, completeness, or timeliness of such information. Fundrella shall not be held liable for any reliance placed on third-party data.

The User is aware that no transfer of data via the Internet or other network can be guaranteed to be entirely secure. Fundrella undertakes reasonable measures to ensure that the Platform meet reasonable security requirements and, in accordance with these Terms and Conditions, is protected against unauthorised access, alteration and destruction. Fundrella cannot, however, warrant that a third part cannot come into possession of, or alter, a Users’s data in the Platform.

4. AVAILABILITY AND TECHNICAL SUPPORT

Service Availability

Fundrella aims to ensure that its platform is available 24 hours a day, 7 days a week, excluding periods of planned maintenance or unexpected technical issues. While we strive for high uptime and platform reliability, we do not guarantee uninterrupted or error-free access to our services and disclaim any liability for unavailability due to causes beyond our reasonable control.

Maintenance and Downtime

We may perform scheduled maintenance from time to time, usually outside of regular business hours. In such cases, we will use reasonable efforts to provide advance notice to users via email or platform notifications. Emergency maintenance may be conducted without notice where necessary.

Technical Support

Fundrella provides standard technical support to all registered users during regular business hours (CET/CEST), Monday to Friday, excluding Swedish public holidays. Support requests may be submitted via email to support@fundrella.com. We aim to acknowledge support inquiries within 24 hours and to resolve issues in a timely manner based on their priority level.

Third-Party Services

The availability and performance of Fundrella’s services may depend on third-party providers (e.g., hosting services, cloud infrastructure). We are not liable for disruptions caused by such third-party providers but will use commercially reasonable efforts to ensure their reliability.

5. FINANCIAL AND INVESTMENT ADVICE

Fundrella does not provide financial, investment, or legal advice through the Platform. Any information shared by Fundrella is for informational purposes only and should not be relied upon for decision-making

6. INTELLECTUAL PROPERTY

While using the Platform, Users and their representatives acknowledge and agree that the Platform, including all associated intellectual property rights, are the exclusive property of Fundrella regardless of whether registered or not. It is prohibited to remove, alter or obscure any copyright, trademark, service mark or proprietary rights notices incorporated in or accompanying the Platform and/or services provided by Fundrella through the Platform.

Fundrella makes no claim on intellectual property rights, or title of any sort, to a User’s data that is transferred to or processed through the Platform, beyond that which is required under the laws, professional undertakings and professional ethical rules to which Fundrella is subject (e.g. documentation duty).

The User shall inform Fundrella without delay of any claims submitted by a third party concerning infringement into a copyright or other intellectual property right due to the User’s use of the Platform

7. LIMITATION OF LIABILITY

The Platform is provided "as is" without warranties. Fundrella is not liable for any losses or damages arising from its’ use, including errors, inaccuracies, loss of data or third-party reliance. Fundrella shall not be liable for any loss or damage whatsoever which the Users suffers through relying on the information accessed on the Fundrella Platform from time to time.

In all circumstances Fundrella’s liability is limited to one (1) price base amount, according to the Social Insurance Code (2010:110) at the time the fault or deficiency arose.

8. MISCELLANEOUS

If, at any time, any provision of these Terms and Conditions is or becomes illegal, invalid, or unenforceable in any respect under any law or jurisdiction, neither the legality, validity or enforceability of the remaining provisions nor the legality, validity or enforceability of such provision under the law of any other jurisdiction shall in any way be affected or impaired.

9. TERMINATION

Fundrella reserves the right to suspend or terminate a User's access to the Platform for any breach of these Terms and Conditions.

10. GOVERNING LAW & DISPUTES

These Terms and Conditions and any non-contractual obligations arising in relation hereto, shall be governed by and construed in accordance with Swedish law, without regard to its conflict of law rules and principles. Any dispute, controversy or claim arising out of or in connection with this agreement, or the breach, termination or invalidity thereof, shall be the exclusive jurisdiction of the Swedish Courts with the Stockholm District Court as the first instance.
